Terms of Use

of Heidelberger Naturfarben GmbH & Co. KG, Mittelgewannweg 10, 69123 Heidelberg - hereinafter referred to as "HNF" -, binding for all dealers participating in the Dealer Login - hereinafter referred to as "dealer" -,

 

HFN keeps certain information on its website for querying or downloading by dealers. HNF reserves the right to discontinue the operation of its website in whole or in part at any time. Due to the structure of the internet, the connections and the varying computer systems, HNF assumes no liability for uninterrupted availability of its website.

HNF shall provide the dealer with a “dealer login” for the purpose of access to the HNF website with which various information can be accessed, and the present terms of use shall be binding in this respect.

HNF is constantly striving to keep its website free of viruses, but cannot guarantee freedom from viruses. Before downloading files and information, the dealer shall make sure for himself that he has sufficient protection to prevent viruses on the HNF website and for his own protection in the form of virus scanners and/or firewalls.

The dealer shall be obliged not only to respect strict confidentiality of the dealer login as a condition for access to the HNF website, but also to take all measures required to prevent the dealer login from becoming accessible to third parties.

HNF shall immediately make its website inaccessible to the dealer if the dealer violates the terms and obligations of this agreement.

The dealer shall also be obliged to provide the dealer login to a strictly limited number of employees who are also subject to the same terms and conditions as the dealer. Within the framework of legal opportunity, these obligations of confidentiality shall apply to the employees after they have left the company.

HNF shall be obliged to handle all information pursuant to applicable data protection legislation in the acquisition, use and processing of personal data.

Access to the HNF website is password protected and is therefore accessible only to registered users in the interest of security of legal relations. There is no claim to dealer registration through HNF.

HNF shall be authorized to revoke the dealer login and the access opportunities to its website at any time without reason.

This applies in particular if the dealer

• provides false information upon registration;
• is in violation of these requirements and of his obligation to handle access data with care;
• violates applicable law when accessing or using the HNF website.

The dealer shall be obliged upon registration to provide accurate information and to notify HNF immediately of any later changes.

After successful registration, the dealer shall receive his/her password. With the combination of his user ID and password, the dealer shall be able to use the information provided.

The dealer shall make sure that the user information does not become accessible to third parties and shall be liable for all activities deployed under the user ID.

To the extent that the dealer has knowledge that third parties have been improperly using the user data, he shall be required to report in writing this to HNF immediately. After notification has been made, HNF will lock access with this user data. The lifting of the lock is only possible after a separate request by the dealer.

The dealer can demand in writing the deletion of his registration at any time. HNF will delete all user information and other stored dealer data.

HNF grants the dealer a non-exclusive and non-transferrable right to use the information on the website in the scope which has been agreed, or if there is no agreement, in accordance with the goal of the preparation and cession by HNF.

 

5.
The obligation of confidentiality does not become void if the cooperation between HNF and the dealer ends or is cancelled or if the cooperation between HNF and the dealer should be terminated in any other way.

6.
In the event that there is a violation of the terms of use, HNF shall have the right to claim damage compensation from the dealer.

7.
The obligation of confidentiality extends itself to any successors of the dealer. The dealer shall be obliged to impose on the successor the same obligation of confidentiality as he himself has assumed.

8.
Oral Ancillary Agreements shall not be applicable. Changes and additions shall be made in writing. If one of the provisions of these rules becomes invalid or contains a loophole, the other provisions shall remain valid. The invalid provision shall be replaced with another provision which serves the closest economic purpose as the invalid provision.

9.
The terms of use shall be subject to the laws of the Federal Republic of Germany. Heidelberg, Germany shall be the legal venue and fulfillment location.
